Delaware LLC Fees: The 2026 Numbers
Delaware pricing comes down to two figures. You pay $110 once, when the Certificate of Formation is filed, and $400 every year, the flat annual LLC tax due June 1. Everything else on this page is either optional, situational, or somebody's service fee, including ours.
Certificate of Formation: $110
The Division of Corporations collects $110 to file a Certificate of Formation. Be careful with sources quoting less: 6 Del. C. § 18-1105(a)(3) lists a $70 statutory component, and some sites repeat that or a $90 figure, but the Division's actual total charge is $110. Expedited handling is available from the Division at tiered surcharges if regular processing is too slow for your closing date.
The Annual LLC Tax: $400 a Year
This is the figure most likely to be wrong in whatever you read last. For years Delaware's flat alternative-entity tax was $300; HB400, enacted May 2026, raised it to $400 effective tax year 2026. It is due on or before June 1, it is the same flat amount for every LLC regardless of size or income, and it is never prorated. There is no annual report attached to it and no franchise-tax-style calculation, unlike Delaware corporations. Miss June 1 and the state adds a $200 penalty plus 1.5% monthly interest on both tax and penalty, with loss of good standing and eventual cancellation behind that (6 Del. C. § 18-1107). Amendments and Agent Changes: The Caption Sets the Price
A quirk worth real money: a general certificate of amendment to a Certificate of Formation runs $180, but an amendment specifically captioned as changing only the registered office or registered agent is $50 under § 18-1105(a)(11). Same act, different caption, $130 apart. When we handle an agent switch we file it under the $50 caption.
Registering an Out-of-State LLC in Delaware
An LLC formed elsewhere that needs Delaware registration files as a foreign LLC for $200. The reverse situation, a Delaware LLC qualifying to operate in another state, pays that state's own registration fee.

Year One and Beyond
Formed through us, day one comes to $309: $199 for the service and $110 to the state, with the first year of registered agent service already included. Your first $400 tax payment falls on the June 1 after your formation year. From then on, a steady-state Delaware LLC budgets $400 to the state each June and $99 for the agent renewal.
