Delaware LLC Formation Form Your LLC

For a foreigner's Delaware LLC, Firstbase and our Non-US Founder Package cost almost exactly the same in the first year, once Firstbase's required registered agent is counted. The gap opens from year two: Firstbase's agent is $299 a year, and ours is $99. Firstbase in turn offers a priced tax filing product for non-US owners, which we don't. The package on this page is ours, which is worth remembering as you compare.

The numbers for a Delaware LLC

  • Firstbase, year one: $99 Start + $299 agent + $110 state fee = $508.
  • Our package, year one: $399 + $110 state fee = $509.
  • Firstbase, each later year: $299 for the agent.
  • Our package, each later year: $99 for the agent.
  • Delaware's flat LLC tax: $400 for 2026, owed to the state by June 1, with either provider.

A note on Firstbase's annual report coverage: Delaware LLCs don't file annual reports at all, so that part of its agent bundle doesn't come into play for a Delaware LLC.

How our package handles the hard parts

  1. One price for the pieces Delaware requires. Formation and a year of registered agent service are both in the $399.
  2. Your bank application is prepared ahead. We draft it for our partners from your order and attach the Certificate of Formation. Sign your SS-4, review the application, approve it, and we send it off. There's no waiting for the EIN, though our partners still decide, and approval isn't certain.
  3. An EIN without an SSN. We prepare and fax the SS-4 after you e-sign. The IRS normally issues these in two to eight weeks and offers no faster service.

Your ongoing obligations

With our package you pay Delaware's annual LLC tax yourself and arrange your own federal filings. If your LLC is foreign-owned and single-member, that usually means Form 5472 each year, which we don't prepare.

FAQ

Why compare Firstbase's $99 with your $399?

Because the $99 doesn't include the registered agent Delaware requires. Firstbase says an agent is required for incorporation and sells its own for $299 a year. Add that, and the first year costs about the same with either of us.

What's the exact difference over time?

Year one: $508 with Firstbase ($99 + $299 + $110), $509 with us ($399 + $110). Every year after: $299 against $99. By the end of year four, Firstbase has cost $599 more.

Is Firstbase's tax filing service worth it?

If your LLC needs Form 5472 each year and you want it handled by one company, Firstbase's $899-a-year non-US filing is a clear, published option. We don't offer tax filing, so you'd hire someone separately.

Do I need an SSN for either one?

No. Firstbase says an EIN needs no SSN or ITIN. We file your SS-4 by fax under the IRS rules for foreign applicants.

Can Firstbase form in states other than Delaware?

Firstbase Start covers Delaware and Wyoming. Its agent product is sold in all 50 states. Our package here is for Delaware.
